These terms and conditions constitute a legally binding agreement ("Agreement") between (a) you, the end user, and (b) the website FoldorRaise.com ("Site"), owned by Poker Power Network, LLC ("PPN"), a Delaware company and each of its officers, directors, agents, employees, consultants, suppliers, vendors and affiliated companies.

1. Applicability of Terms and Conditions.
By using the Site and/or registering for any site operated by PPN, you represent and warrant that you fully understand and agree to comply with all of the following terms and conditions . If you have any questions as to these terms and conditions, we encourage you to seek independent counsel prior to using the site.

2. Code of Conduct.
The content and information provided by the Site is for your personal, internal use only. You may not syndicate, license, redistribute any information from the Site to any third party, whether as a stand-alone product or in conjunction with other data or information for any purpose without the prior consent of PPN. You may not download electronic copies of our content for any purpose other than those permitted by law.

You may not violate or attempt to violate the security of the Site by, without limitation; (a) accessing data not intended for you or logging into a server or account with you are not authorized to access, (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization, (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Service, overloading, conducting "denial of service attacks", "flooding", "spamming", "mail bombing" or "crashing", (d) sending unsolicited e-mail, including promotions and/or advertising of products or services, (e) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting, (f) violating the Site's copyright or distribute any of the commentary on the Site without the express written consent of PPN or (g) attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Site. Violations of system or network security may result in civil or criminal liability. PPN will investigate potential violations and will, where applicable, vigorously prosecute individuals to the fullest extent of the law.

3. Registration for Subscription Sites.
You must be 18 years of age or older to register and use the Site. To have unlimited access to the Site's service, you must be or become a member. When and if you register to become a member, you agree to (a) provide accurate, current, and complete information about yourself as prompted by the appropriate registration form, and (b) to maintain and update your information to keep it accurate, current, and complete. You acknowledge that, if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right to terminate this Agreement and your use of the Site.

4. Links to Third Party Sites.
The Site may include links to third party sites. PPN is not responsible for the content or business of these third party sites. You agree that you visit these sites at your own risk. You understand and accept that PPN is unable to provide any legal advice or assurances and this it is your sole responsibility to ensure that at all times you comply with the laws that govern you and that you have complete legal right to use such sites.

5. Third Party Site Promotions.
The Site may include promotions that are available on third party web sites sites. You are responsible for reading and understanding the requirements of such promotions. PPN is not responsible for the accurracy or completeness of the promotion, and as stated above, PPN is not responsible for the content or business of these third party sites. You agree that you visit these sites at your own risk.

6. Privacy Policy.
Registration data and certain other information about you and Company’s use of such data and information is subject to our Privacy Policy. For more information, see our full Privacy Policy below.

7. Your Account.
PPN reserves the right at anytime to cancel your account or restrict access to the Site at any time for any reason. Specifically, abusive or offensive language will not be tolerated in any area of the site. Any violation of this policy may result in your account's immediate termination.

8. User Generated Content.
Throughout the Site, PPN provides users the ability to publish comments. PPN does not review, verify or endorse the accuracy of any user generated comments. PPN is not responsible for any of the user generated content. PPN may delete, at its sole descretion, any or all or the user generated content. Once posted to the site, the commentary becomes the property of PPN.

9. FoldorRaise.com Commentary and Analyzer.
Throughout the Site, PPN provides commentary and features; this includes the Expert's Comments, Expert's Picks, and Analzyer. THIS COMMENTARY AND FEATURE SET CONSISTS OF OPINIONS AND SHOULD BE USED FOR ENTERTAINMENT PURPOSES ONLY. PPN does not guarantee the accuracy of such content. PPN and its owners are not responsible for any losses that may arise from using any part of the Site. Any content or features (including the Analyzer) may change at any time without notice.

10. Indemnity.
You agree to hold PPN, its employees, officers, directors, licensees, licensors, affiliates, and subsidiaries harmless and further agree to fully indemnify them from any and all costs, expenses, liabilities and damages whatsoever that may arise as a result of your use of PPN or any of the third party sites PPN provides links to.

11. NO WARRANTIES AND LIMITED LIABILITY.
YOUR ACCESS TO FOLDORRAISE.COM AND PARTICIPATION ON THE SITE IS AT YOUR SOLE OPTION, DISCRETION AND RISK. THE COMPANY WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THIS AGREEMENT OR YOUR USE OF FOLDORRAISE.COM, HOWEVER THEY ARISE, WHETHER FOR BREACH OF CONTRACT OR IN TORT, EVEN IF POKER POWER NETWORK RECEIVED PRIOR NOTICE OF THE POSSIBILITY OF SUCH DAMAGE. THE COMPANY'S MAXIMUM LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF THIS AGREEMENT OR YOUR USE OF FOLDORRAISE.COM, WHETHER FOR BREACH OF CONTRACT OR IN TORT, WILL BE LIMITED TO THE AMOUNT, IF ANY, YOU PAID TO ACCESS FOLDORRAISE.COM.

12. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of Delaware without giving effect to conflicts of law principles. You irrevocably agree to submit, for the benefit of the Company, to the exclusive jurisdiction of the courts of Delaware for settlement of any disputes arising out of or concerning this Agreement. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms.

13. Entire Agreement, Modification and Amendments.
You fully understand and agree to be bound by the terms and conditions contained herein and as modified and/or amended from time to time. PPN reserves the right to modify and amend this Agreement at any time with or without notice. Such amendments will become effective immediately upon being posted at PPN. It is your sole responsibility to review this Agreement and amendments hereto each time you use the site. The terms and conditions contained herein represent the complete and final agreement between you and Company and supersede any and all prior agreements, representations or statements made by Company.

PRIVACY POLICY

Your privacy is very important to us. We want to make your experience at the Poker Power Network ("PPN" ) of sites as enjoyable and rewarding as possible. We have created this Privacy Policy to demonstrate our firm commitment to privacy and security. This Privacy Policy describes how PPN collects information from all end users of PPN's services (the "Services") -- those who access some of our Services but do not have accounts ("Visitors"), as well as those who register to the Services ("Members"). It describes what we do with the information we collect, and the choices Visitors and Members have concerning the collection and use of such information.

Personal Information PPN Collects and How It Is Used
PPN collects information in different ways from Visitors and Members who access the various parts of our Services. Registration
Members are asked to provide certain personal information when they sign up for our Services. The personal information collected from Members during the registration process is used to manage each Member's account. PPN may also generate non-identifying and aggregate profiles from personal information Members provide during registration (such as the total number, but not the names, of Members). As explained in more detail below, we may use this aggregated and non-identifying information to sell advertisements that appear on the Services.

PPN Partners and Sponsors
Some PPN products and services are offered to Visitors and Members in conjunction with a non-affiliated partner. To provide Visitors and Members some of these products and services, the partner may need to collect and maintain personal information. In these instances, you will be notified before any such data is collected or transferred and may decide not to use that particular service or feature. PPN may need to share non-identifying and aggregate information (except as described above), but not personal information, with such partners in order to administer the co-branded products or services offered.

Online Advertisements
PPN occasionally displays online advertisements on our website and in our email newsletters. We share aggregated and non-identifying information about our Visitors and Members collected through the registration process as well as through online surveys and promotions with these advertisers. Additionally, in some instances, we use this aggregated and non-identifying information to deliver tailored advertisements. For instance, an advertiser might tell us the audience they want to reach (for example, males between 25 and 55 years of age) and provide us with an advertisement tailored to that audience. Based upon the aggregated and non-identifying information we have collected, we may then display the advertisement to the intended audience. However, PPN does not share personal information about its Visitors or Members with these advertisers.

Email Marketing From Third Party Sponsors
In addition, from time to time, PPN sends, on behalf of third parties, promotions via mail to some or all of its subscribers. However, in no event does PPN sell or otherwise transfer to third parties the email addresses of its subscribers. PPN strictly maintains the confidentiality of its subscribers' email addresses. In addition, users are always given the opportunity of opting-out of these promotions.

Voluntary Customer Surveys
We may periodically conduct both business and individual customer surveys. We encourage our customers to participate in these surveys because they provide us with important information that helps us to improve the types of services we offer and how we provide them to you. Your personal information and responses will remain strictly confidential, even if a third party conducts the survey. Participation in our customer surveys is voluntary.

We take the information we receive from individuals responding to our Customer Surveys and aggregate it with the responses from other customers to create broader, generic responses to the survey questions (such as gender, age, residence, hobbies, education, employment, industry sector, or other demographic information). We then use the aggregated information to improve the quality of our services to you, and to develop new services and products. This aggregated; non-personally-identifying information may be shared with third parties.

Special Cases
It is PPN's policy not to use or share personal information about Visitors or Members in ways unrelated to the ones described above without also providing you an opportunity to opt out or otherwise prohibit such unrelated uses. However, PPN may disclose personal information about Visitors or Members, or information regarding your use of the Services or Web sites accessible through our Services, for any reason if, in our sole discretion, we believe that it is reasonable to do so, including: to satisfy laws, such as the Electronic Communications Privacy Act, regulations, or governmental or legal requests for such information; to disclose information that is necessary to identify, contact, or bring legal action against someone who may be violating our Terms of Use Policy or other policies; to operate the Services properly; or to protect PPN and our Members.

"Cookies" and How PPN Uses Them
A "cookie" is a small data file that can be placed on your hard drive when you visit certain Web sites. PPN may use cookies to collect, store, and sometimes track information for statistical purposes to improve the products and services we provide and to manage our telecommunications networks. If you are a Member, we will use a cookie to save your settings (which saves you time) and to provide customizable and personalized services. These cookies do not enable third parties to access any of your customer information. Advertisers and partners may also use their own cookies. We do not control the use of these cookies and expressly disclaim responsibility for information collected through them.

PPN's Commitment to Data Security
Services and Web sites we sponsor have security measures in place to protect the loss, misuse, and alteration of the information under our control. While we make every effort to ensure the integrity and security of our network and systems, we cannot guarantee that our security measures will prevent third-party "hackers" from illegally obtaining this information.

In the Event of a Change in Ownership
In the event of a change in ownership, or a merger or an acquisition of PPN by another entity, all (or select aspects) of PPN's customer information (including email addresses) may be transferred to this new entity or owner. All PPN subscribers and registered users will be notified within thirty business days of any change in ownership, merger or an acquisition of PPN's assets by a third party. Members and users may choose to access and modify any of their registration and subscription information at that time.
